Terms of Service

These Terms of Service ("Terms") govern your use of PinpointVerify, a service of Design With Purpose LLC, an Oregon based Limited Liability Company ("Company," "we," "us," or "our"). By using our Service, you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 years old to use this Service. Questions? Contact us at legal@pinpointverify.com.

1. Service Description

PinpointVerify provides in-person personnel verification services. For each verification order, we coordinate an appointment between your designated employee and a state-licensed notary, confirm location, and provide a scanned notarized document to you. We confirm that a named individual appeared in person before a state-licensed notary at a confirmed location, presented a government-issued ID, and signed a document in the notary's presence. We do not independently verify identity beyond notary confirmation. This is the scope of our service.

Service timeline. Verification instructions are sent to the employee by the next business day after payment, unless the employee selects a delayed start date during the submission process. Business days are Monday through Friday, excluding U.S. federal holidays.

2. What This Service Is Not

  • Not a background check. PinpointVerify does not search criminal records, employment history, education history, credit history, or any other records database. We do not provide consumer reports as defined by the Fair Credit Reporting Act (FCRA). PinpointVerify acts as a technology and service provider. The verification output is not intended to be used as a sole or standalone determination in any hiring, employment, or personnel decision. The employer is the sole decision-maker regarding any actions taken based on verification results. You agree not to use the Service as a consumer report or as a factor in determining eligibility for employment in a manner that would cause PinpointVerify to be considered a consumer reporting agency under the Fair Credit Reporting Act.
  • Not employment eligibility verification. This Service does not satisfy I-9 requirements under U.S. immigration law or any other employment eligibility verification mandate.
  • Not ID authentication. State-licensed notaries are not forensic document examiners. Notaries confirm only that a person with a particular name and ID was physically present and signed the document; they do not certify the authenticity, validity, or legitimacy of any identification document presented. Neither notaries nor PinpointVerify assume liability for identification documents that are fraudulent, forged, altered, expired, or impersonated. You are solely responsible for assessing the sufficiency of the verification results for your purposes and for any consequences of undetected identity fraud.
  • Not a substitute for legally required verification processes. This Service is supplementary and does not replace any legally mandated verification, screening, or compliance process.

3. User Responsibilities

  • You must provide accurate employee information when submitting a verification order.
  • You are responsible for obtaining any necessary consent from the employee whose information you submit.
  • You must comply with all applicable employment, privacy, and anti-discrimination laws in your use of this Service, including the Fair Credit Reporting Act (FCRA) to the extent it applies to your use of verification results.
  • You may not use this Service for any unlawful purpose or in any way that violates applicable laws.
  • You may not submit verification orders for individuals who have not agreed to participate.
  • You are responsible for how you use the verification results in your hiring, onboarding, or compliance processes. Verification results should not be used as the sole basis for adverse employment decisions.
  • You acknowledge that no identity verification service can guarantee detection of sophisticated identity fraud, forged or altered identification documents, or impersonation. You bear sole responsibility for any losses, damages, or decisions resulting from undetected fraud, misidentification, or incorrect identification. You agree that neither PinpointVerify nor any notary engaged through the Service is liable for such outcomes.
  • When submitting employee data, you act as the data controller. PinpointVerify processes employee data as a service provider on your instructions. You are responsible for ensuring you have appropriate legal basis and consent. See our Privacy Policy for details.
  • You are responsible for downloading or requesting physical mailing of any verification document you wish to retain beyond our standard retention period. As described in our Privacy Policy, digital verification records may be deleted on an annual basis (typically on or around the anniversary of your account creation), and physical originals not requested for mailing may be shredded at our discretion. We provide at least 30 days' advance notice to the account email before scheduled deletions.

4. Payment Terms

Payment. Payment is collected prior to the submission of a verification, via Stripe.

Refund policy. Refund requests must be submitted within 90 days of the original purchase by emailing support@pinpointverify.com.

  • Full refund if the employee is unable to complete the verification process through no fault of their own (e.g., scheduling issues, notary unavailability, or process errors on our end).
  • Full refund if there is no notary location within a reasonable distance (approximately two hours driving time) of the employee's address.
  • Full refund for any other reason we are unable to process or fulfill the verification request.
  • Full refund if we are unable to complete your verification because a third-party service provider on which fulfillment depends (such as a shipping carrier or notary network) terminates, suspends, or refuses service to PinpointVerify. In such circumstances PinpointVerify has no obligation to fulfill pending or future verification requests that depend on the affected provider.
  • Full refund if you cancel a verification before the employee has been contacted.
  • No refund if the employee fails to appear for their scheduled appointment, does not follow the provided instructions, or does not return the completed document.
  • For completed verifications, a partial refund may be issued reflecting the verification fee less notary and shipping costs already incurred. The specific amount depends on the costs incurred at the time of the request, including but not limited to notary fees, travel costs, and shipping expenses.

Billing disputes. If you believe a charge is incorrect, contact us at support@pinpointverify.com within 60 days of the charge. We will investigate and respond within 15 business days. If you file a chargeback with your bank before contacting us, we reserve the right to suspend your account pending resolution.

Document mailing fee. If you would like us to mail the original physical notarized document to you, email support@pinpointverify.com. We will provide the current mailing fee (covering printing if needed, secure handling, and shipping) at the time of your request. We will mail the document within 10 business days of fee payment. 5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR DELAYS OR FAILURES CAUSED BY THIRD-PARTY SERVICE PROVIDERS, INCLUDING NOTARIES, SHIPPING CARRIERS, OR PAYMENT PROCESSORS.

6. Limitation of Liability

To the maximum extent permitted by applicable law, PinpointVerify's total liability for any claim arising from your use of the Service is limited to the amount you paid for the specific verification in question. This limitation applies to all causes of action in the aggregate, whether in contract, tort, or otherwise.

PinpointVerify is not liable for any employment decisions you make based on verification results, for any harm caused by an employee who was verified through our Service, for the authenticity of government-issued documents presented to notaries, or for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

The limitations in this section do not apply to liability arising from gross negligence or willful misconduct by PinpointVerify, or where such limitations are prohibited by applicable law.

We confirm notarization occurred and was location-confirmed. We do not guarantee outcomes beyond the scope of the service as described herein.

7. Indemnification

You agree to indemnify, defend, and hold harmless Design With Purpose LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your misuse of the Service or violation of these Terms; (b) your violation of any applicable law, including the FCRA, or the rights of any third party; (c) any employment or personnel decisions you make based on verification results, to the extent arising from your use of the Service or violation of these Terms; or (d) any claim by an employee or third party arising from your submission of their data without proper authorization or consent.

8. Independent Third Parties

The verification process relies on independent third-party service providers, including but not limited to state-licensed notaries, shipping carriers, and carrier personnel (collectively, “Third-Party Providers”). Third-Party Providers are not employees, agents, contractors, partners, or representatives of PinpointVerify, and PinpointVerify is not affiliated with any Third-Party Provider. We coordinate the use of these services on your behalf but do not employ, control, direct, or supervise their work. Each notary is independently licensed and regulated by their state; each shipping carrier operates under its own terms of service. To the maximum extent permitted by law, PinpointVerify is not liable for the acts, omissions, errors, delays, or negligence of any Third-Party Provider, including but not limited to lost, delayed, or damaged shipments and notarization errors. Notary services are limited in scope to confirming physical presence and signature; notaries do not warrant the authenticity of identification documents, and shipping carriers do not warrant any aspect of the verification process. Any liability of Third-Party Providers, if any, is governed solely by the notary's commission, surety bond, or the carrier's own terms of service, and is not transferred to or assumed by PinpointVerify. In the event that a Third-Party Provider terminates, suspends, or otherwise discontinues service to PinpointVerify, PinpointVerify shall have no obligation to fulfill pending or future verification requests dependent on that Third-Party Provider, and any affected requests shall be eligible for refund as described in Section 4.

9. Acceptable Use

  • You may not use this Service to harass, surveil, or monitor individuals without their knowledge and consent.
  • You may not use this Service to circumvent any applicable employment or privacy law.
  • You may not submit false or fabricated employee information.
  • You may not attempt to access or disrupt our systems or the systems of others.
  • You may not resell or redistribute verification services without written authorization.
  • You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive or reproduce the source code, underlying methodology, algorithms, notary-coordination processes, or other trade secrets of the Service, except to the extent such restriction is prohibited by applicable law.
  • You may not access the Service through any automated means (including bots, scrapers, crawlers, or data-extraction scripts) except as expressly permitted in writing by PinpointVerify.
  • You may not access, evaluate, or use the Service for the purpose of designing, building, marketing, training a model for, or operating a service that is substantially similar to or competitive with PinpointVerify, nor may you provide access to the Service to any third party for such purpose. If you are, or become, a direct competitor of PinpointVerify, you must promptly notify us at legal@pinpointverify.com and discontinue use of the Service. We may terminate any account we have a reasonable basis to believe is being used in violation of this section without refund.
  • You may not collect, harvest, or compile information about other users, the notary network, our pricing, or our operational processes for use outside of your legitimate use of the Service.

10. Termination

We may suspend or terminate your account and access to the Service if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to PinpointVerify, other users, or third parties. Where reasonable under the circumstances, we will provide notice prior to termination and an opportunity to cure the violation. For violations of Section 9 (Acceptable Use) involving competitive use, reverse-engineering, automated access, or misappropriation of trade secrets, we may terminate immediately and without refund.

You may close your account at any time by contacting us at legal@pinpointverify.com.

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. Physical notarized documents associated with your account may be mailed to you on request (subject to the mailing fee described in Section 4) or securely shredded at our discretion. Any unused verification credits are non-refundable upon voluntary account closure, unless otherwise required by applicable law.

Survival. Sections 5 (Disclaimer of Warranties), 6 (Limitation of Liability), 7 (Indemnification), 8 (Independent Contractors), 11 (Intellectual Property), 12 (Dispute Resolution), 15 (Governing Law and Venue), and 20 (No Agency) shall survive any termination or expiration of these Terms.

11. Intellectual Property

PinpointVerify is the intellectual property of Design With Purpose LLC, an Oregon Limited Liability Company. All content, software, trademarks, and materials on the PinpointVerify platform are owned by or licensed to Design With Purpose LLC. You may not copy, reproduce, or redistribute any part of our platform without written permission.

Trade secrets. The processes, methodologies, notary-network composition, location-confirmation techniques, third-party integrations, pricing structures, and internal workflows that underlie the Service constitute confidential information and trade secrets of Design With Purpose LLC, protected by the federal Defend Trade Secrets Act (18 U.S.C. § 1836) and applicable state law. You agree not to disclose, reproduce, or use such trade secrets for any purpose other than your authorized use of the Service. You acknowledge that any unauthorized disclosure or use would cause irreparable harm for which monetary damages would be inadequate, and that PinpointVerify is entitled to seek injunctive relief in addition to any other remedies.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Arbitration shall take place in the State of Delaware, unless otherwise required by applicable law. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. Any litigation arising from this agreement that is not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Delaware.

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.

Arbitration costs. For claims under $10,000, PinpointVerify will pay all arbitration filing and hearing fees. For claims over $10,000, arbitration fees shall be allocated in accordance with the AAA's rules. Each party shall bear its own attorneys' fees unless the arbitrator determines otherwise.

Opt-out right. You may opt out of this arbitration agreement by sending written notice to legal@pinpointverify.com within 30 days of first agreeing to these Terms. Your opt-out notice must include your name, email address, and a clear statement that you decline arbitration. If you opt out, disputes will be resolved in the state or federal courts located in the State of Delaware.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights. Claims eligible for small claims court may be brought there instead of arbitration.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemic, government actions, labor disputes, third-party service outages, or disruptions to postal or shipping infrastructure.

14. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email at least 15 days before the changes take effect, where required by applicable law. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree with any changes, you may close your account before the changes take effect.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute not subject to arbitration under Section 12 shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PinpointVerify regarding the Service and supersede any prior agreements, communications, or understandings, whether written or oral.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

19. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

20. Compliance with Laws

We will comply with applicable laws in providing the Service.

21. No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and PinpointVerify. Neither party has authority to bind the other or to incur obligations on the other's behalf.
